Terms of Service

1. Engagement Principles & Scope

These Terms of Service govern all technical development, consulting, website design, and search engine marketing agreements entered into with Adviyo Technologies ("Adviyo", "we", "us"). Every commercial engagement is formalized through a written Statement of Work (SOW) or proposal defining exact deliverables, technical architectures, milestone timelines, and fixed scope pricing.

2. Intellectual Property & 100% Code Ownership

Zero Agency Lock-in: Adviyo operates under a strict client-ownership policy. Upon full settlement of agreed milestone invoices:

• 100% of all custom source code, Git repositories, database schemas, and documentation created specifically for your project become your exclusive intellectual property.
• All vector brand assets, UI/UX design components in Figma, and marketing collateral are transferred to your ownership with full commercial exploitation rights.
• We do not charge ongoing proprietary licensing fees or hold administrative credentials hostage.

3. Fixed Scope Estimates & Milestone Billing

We eliminate runaway hourly retainers. Client engagements are quoted with transparent fixed milestone schedules:

• Currency & Taxes: Quotes for Indian clients are structured in INR (plus applicable GST). Quotes for UAE and GCC clients are structured in AED (excl. 5% UAE VAT).
• Milestone Approval: Milestone invoices are released only as agreed sprint deliverables are demonstrated, tested on staging environments, and formally approved.
• Scope Adjustments: Any features or requirements requested outside the signed SOW are evaluated and quoted transparently through formal change requests before work commences.

4. Client Collaboration & Materials

Timely delivery requires mutual cooperation. Clients agree to provide required commercial copy, branding guidelines, high-resolution media assets, and third-party API credentials promptly. Delays in asset provision or review feedback may adjust target milestone delivery dates accordingly.

5. Warranty & Post-Launch Defect Warranty

Every software platform and custom website delivered by Adviyo includes a complimentary 30-day post-launch warranty period covering bug fixes, browser compatibility remediation, and critical defect resolution within the originally agreed scope. Extended maintenance agreements and SLA retainers are available under separate service tiers.

6. Limitation of Liability

Adviyo Technologies warrants that services will be performed with professional diligence in accordance with recognized industry engineering standards. In no event shall Adviyo be liable for indirect, incidental, or consequential damages, or loss of profits arising out of platform operation, third-party hosting outages, or external API modifications beyond our direct control.

7. Governing Jurisdiction

Unless specified otherwise in your signed enterprise SOW, commercial engagements with Adviyo Technologies are governed by applicable commercial laws, with disputes subject to amicable resolution or the jurisdiction of courts in Hosur / Krishnagiri district, Tamil Nadu, India.
